1. Acceptance of Terms

By accessing or using Kitt Agents ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service.

2. Service Description

Kitt Agents provides a personal AI agent accessible via SMS and web chat. Each subscriber receives a dedicated AI instance running on isolated infrastructure. The service includes the web portal, mobile application, and SMS-based interactions.

3. SMS Messaging Terms

By providing your phone number, you consent to receive the following types of SMS messages from Kitt Agents:

  • AI agent responses — replies from your personal AI assistant
  • Account notifications — verification codes, security alerts, and account status updates
  • Subscription reminders — renewal notices and billing alerts
  • Product updates — new features and service announcements (if opted in)

Message frequency varies based on your usage. AI agent response messages are sent only when you initiate a conversation via SMS. Notification and reminder messages are sent infrequently (typically 1-4 per month).

Message and data rates may apply. Contact your carrier for details about your messaging plan. Carriers are not liable for delayed or undelivered messages.

You may opt out of SMS messages at any time by replying STOP to any message. To opt back in, reply START. Reply HELP for assistance or contact support@kittagents.com. After opting out, you will no longer receive SMS messages but may continue using the web and mobile app.

We will not share your phone number with third parties for marketing purposes. Your phone number is used solely for delivering the services described above.

4. Account Requirements

  • You must be at least 16 years old to create an account.
  • You must provide a valid email address and phone number during registration.
  • You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
  • Each subscription provides one AI agent instance. You may not share your instance with others.
  • Notify us immediately if you believe your account has been compromised.

5. AI Agent Disclaimer

This is important. Please read this section carefully.

  • The AI agent is provided "as is." Responses are generated by third-party language models and may be inaccurate, incomplete, biased, outdated, or inappropriate.
  • We are not responsible for any decisions, actions, or consequences based on the agent's output.
  • The agent must not be relied upon for medical, legal, financial, or safety-critical advice. Always consult a qualified professional for such matters.
  • You must independently verify any important information provided by the agent before acting on it.
  • We make no warranties about the accuracy, reliability, completeness, or suitability of agent responses for any purpose.

6. Data and Content

  • Agent memory and conversation data is stored on a best-effort basis. We are not responsible for data loss, corruption, or unavailability.
  • You should maintain your own backups of any critical information you share with or receive from your agent.
  • You retain ownership of the content you submit. By using the service, you grant us a limited license to process your content solely to provide the service.
  • We may delete agent data upon account cancellation or termination.

7. Acceptable Use

You agree not to use the Service to:

  • Engage in or facilitate any illegal activity
  • Harass, threaten, or abuse other people
  • Attempt to bypass security measures, rate limits, or access controls
  • Access the service via automated bots or scripts without our prior written permission
  • Resell, sublicense, or redistribute the service to third parties
  • Interfere with or disrupt the service, servers, or connected networks
  • Reverse engineer, decompile, or disassemble any part of the service
  • Extract, copy, reproduce, or redistribute the AI agent's system prompts, skill definitions, configuration files, behavioral instructions, or any other proprietary logic embedded in the service
  • Use prompt injection, jailbreaking, or any other technique to cause the AI agent to disclose its internal instructions, system prompts, or operational configuration
  • Create, publish, or distribute derivative works based on extracted prompts, configurations, or behavioral patterns of the service

We may suspend or terminate accounts that violate these rules without prior notice.

8. Intellectual Property

All system prompts, skill definitions, agent configurations, behavioral instructions, and operational logic embedded in the service ("Platform IP") are the exclusive intellectual property of Kitt Agents and are protected by copyright, trade secret, and other applicable laws.

  • Your subscription grants you a limited, non-exclusive, non-transferable license to use the service as intended. It does not grant you any ownership of, or rights to, the Platform IP.
  • The AI agent's prompts, skills, and configurations are trade secrets. Unauthorized extraction, reproduction, or disclosure of these materials constitutes a violation of these terms and applicable trade secret laws.
  • We reserve the right to pursue all available legal remedies, including injunctive relief and damages, against any party that misappropriates, extracts, or redistributes Platform IP.
  • If you discover a vulnerability that allows access to Platform IP, we ask that you report it responsibly to support@kittagents.com rather than exploiting it.

9. Subscription and Billing

  • The service requires a monthly paid subscription. You may cancel at any time.
  • Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.
  • There are no refunds for partial months. When you cancel, you retain access until the end of your current billing period.
  • We may change pricing with at least 30 days' notice. The new price takes effect at the start of your next billing cycle after the notice period.
  • Failure to pay may result in suspension or termination of your account and AI agent instance.

10. Service Availability

  • We do not guarantee any specific uptime or provide a service level agreement (SLA).
  • We may perform maintenance with or without advance notice, which may temporarily interrupt the service.
  • The service may be interrupted, suspended, or discontinued at any time for any reason.
  • We are not liable for any downtime, service interruptions, or data unavailability.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability to you for any claims arising from or related to the service is limited to the amount you paid us in the twelve (12) months preceding the claim.
  • We are not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, loss of profits, or loss of business opportunities.
  • This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, or any other legal theory.

12. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kitt Agents and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the service, your violation of these terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your account at our discretion if you violate these terms or for any other reason with reasonable notice. You may cancel your account at any time through your account settings. Upon termination, your right to use the service ceases immediately and we may delete your data, including your AI agent instance and conversation history.

15. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the state or federal courts located in Delaware.

16. Changes to These Terms

We may update these Terms of Service from time to time. We will post the updated terms on this page and update the "Last updated" date. For material changes, we will notify you by email. Your continued use of the service after changes are posted constitutes acceptance of the revised terms.
